Tall Oaks HOA Annual Meeting

September 27, 2011

  

The Tall Oaks Homeowners Association held its annual meeting on September 27, 2011 at 7:30 pm at the Kildeer Village Hall.  A quorum with 12 lot members present was established.  All board members were present including Mark Kubow, President, Leslie Pontello, Treasurer, Kevin Lucas, Rob Laughlin and Howard Kosick, Secretary.

Eight other homeowners attended the meeting including McCarthy, Miller, Haas, Jagielo, Lozins, Loche, and 2 representatives from Dior Homes (Peter and Mario Di Iorio), who own Tall Oaks lot #36.

Michael Talbot, Kildeer Village Manager, also sat in on the meeting.  During the meeting he brought up an Electronics Recycling Event that the Village sponsored on November 5th at the Best Buy.  He also wanted to make everyone aware of the improved Kildeer website and suggest we all go to the web site and sign up for the newsletter to stay informed - http://villageofkildeer.com.  Also, trick-or-treating hours on Halloween will be from 3-8pm.

Mark Kubow called the meeting to order and reviewed the agenda for the evening.

Leslie Pontello, Treasurer, reviewed the fiscal 2011/12 budget which had been sent to all homeowners prior to the meeting (copy attached).  The budget would assess each homeowner $650 for the next fiscal period.  Ms. Pontello answered all questions from the floor.  For next year it was agreed to look into increasing mosquito abatement services.

There was discussion about the Tall Oaks HOA web site in response to some questions from Steve Totzke who graciously continues to maintain the site.  It was agreed to spend a few dollars to update the software that then gives us some options due to the upgrade.  The one that was of most interest to the group was an online telephone directory.  The one concern was then to add and maintain passwords so only HOA members could access the site.  Leslie Pontello agreed to work with Steve and Mark to evaluate the options.

Mark Kubow introduced Vicki Loche as the search committee’s nominee to replace the open board position being vacated by Kevin Lucas.  A big thank-you to Kevin who has again served a term on the board.

Mark Kubow reviewed the proposed changes to the Tall Oaks CCR’s which had been sent to all homeowners prior to the meeting.  He indicated that the update has been a work in process for two years and is now complete.  One further change had been suggested and accepted by Mark – that being a change to Article II, Section 13 whereby the period for determining abandon vehicles would be increased from 7 days to 30 days.

In addition, there was one error in the draft version, Article VI, Section 8 should read:

The election of Directors to the Board, changes in By-Laws, annual assessments, special assessments and other matters as provided for in this Declaration or the By-Laws shall be proposed by the Board and voted on by the members of the association Board of Directors, unless otherwise specified herein, at annual meetings or special meetings with proper notice having been given.

Based on homeowner votes and proxies represented at the meeting the fiscal 2011/12 budget was approved and Vicki Loche was elected as a director for the board.

Changing of the CCR’s requires the approval of 48 homeowners (2/3 of the total) and votes and proxies in favor at the meeting totaled 44.  27 other lot owners did not vote or submit a proxy.  After confirming with counsel we can still solicit votes until we have the requisite number of ballots / proxies.

ast Mark Kubow presented the boards’ frustration with many homeowners not being responsive to HOA requests, annual meeting votes, etc.  Several options to deal with silent homeowners were discussed by the group.  Mark agreed to review the options with the HOA legal counsel and to come back with a recommended amendment to the CCR’s to deal with silent/absent homeowners.

The meeting was adjourned at 8:20 pm.
